Terms and conditions
Last updated: 2026-10-27
1. Scope, provider
1.1 These terms and conditions apply to all contracts for the use of Postaro between maxiFIT Sebersdorf e.U., Oberlimbach 33, 8271 Bad Waltersdorf, Austria, FN 647609 t, VAT ID ATU76155517 ("we") and the customer.
1.2 Deviating terms of the customer only apply if we expressly agree to them in writing. Email is sufficient.
2. Businesses only
2.1 Postaro is offered exclusively to businesses within the meaning of § 1 Austrian Consumer Protection Act (KSchG) and § 14 German Civil Code (BGB), i.e. natural or legal persons acting in the course of their trade, business or profession when concluding the contract, including associations and public bodies. We do not enter into contracts with consumers.
2.2 When signing up, the customer confirms that it acts as a business. A statutory consumer right of withdrawal therefore does not exist. Anyone who falsely claims to be a business cannot rely on consumer rights against us to the extent permitted by law.
3. Services
3.1 Postaro is an online service (software as a service) that creates, checks and schedules social media posts for the customer: Postaro reads the website specified by the customer, creates a knowledge profile from it that the customer can edit in the portal, writes post texts, designs graphics and reels (with music and, if desired, a voice-over) and automatically checks every post against the knowledge profile (fact check) and against the banned terms set by the customer.
3.2 Posts are published exclusively via the customer's own Buffer account, which the customer connects to Postaro; Buffer passes the posts on to the channels connected by the customer (e.g. Instagram, Facebook, TikTok). The Buffer account and the platform accounts are not part of our service; the terms of the respective providers apply to them.
3.3 The customer chooses the workflow: approval (each post is only scheduled after the customer approves it) or automatic (posts that pass the fact check are scheduled without individual approval).
3.4 The exact scope results from the description on our website and in the portal at the time of sign-up. We continuously develop Postaro and may change features as long as the core benefit (creating, checking and scheduling posts) is preserved. To prevent misuse and disproportionate costs, reasonable usage limits apply (e.g. AI images per month or re-creations per day), which are shown in the portal.
3.5 We do not owe any particular advertising success, reach or engagement.
4. Conclusion of contract
4.1 The preview with example posts is free of charge and non-binding.
4.2 The contract is concluded when the customer creates an account during the order process, accepts these terms including the data processing agreement and completes payment on the payment page of our payment provider Stripe. Agencies conclude the contract by signing up for the trial month or buying a plan.
4.3 The contract language is German; this English version is provided for information. We store the contract text; the customer can access and print it at any time at this address.
5. Prices and payment
5.1 The prices shown at sign-up apply. The price of the subscription for individual businesses is a monthly price including VAT. Prices of agency plans are net plus statutory VAT.
5.2 Billing is in advance for each billing period (month or year) via Stripe using the payment method selected there. The customer receives invoices electronically.
5.3 A founder price applies as long as the subscription runs without interruption.
5.4 If a payment is outstanding, we may suspend scheduling and publishing new posts until payment is received. Content and settings are kept.
5.5 We announce price changes for existing contracts by email at least 30 days in advance; the customer may cancel effective at the end of the current billing period until the change takes effect.
6. Term and cancellation
6.1 The contract runs for an indefinite period and renews with each billing period.
6.2 The customer may cancel at any time effective at the end of the paid billing period – in the portal under "Cancel subscription" (agencies under "Cancel plan") or by email to support@postaro.at. Periods already paid are not refunded pro rata.
6.3 We may cancel with 30 days' notice effective at the end of a billing period. The right to terminate for good cause remains unaffected, in particular in the event of serious breaches of section 7 or payment default despite a reminder.
6.4 After the contract ends, Postaro no longer creates or schedules new posts. Posts already handed over to Buffer remain there until the customer deletes them. The customer may continue to use the results created for it (section 9). We delete its data in accordance with section 10 of the data processing agreement.
7. Customer obligations
7.1 The customer provides truthful information and keeps its access data secret. It is responsible for actions taken via its account.
7.2 The customer only provides websites, texts, photos, videos, logos, music and fonts to Postaro for which it holds the necessary rights. For photos and videos showing identifiable persons, it obtains the necessary consents (personality rights, data protection).
7.3 The customer does not use Postaro for unlawful, misleading, offensive, discriminatory content or content harmful to minors and complies with the terms of Buffer and the platforms.
7.4 The customer indemnifies us if third parties make claims against us because of content it provided or published or because of a breach of this section.
8. AI content and responsibility
8.1 Postaro's texts, images and voices are generated with artificial intelligence (see AI notice). AI can make mistakes. The fact check reduces this risk but does not rule it out.
8.2 The customer is responsible for the posts published via its Buffer account – also in the "automatic" workflow. In particular, it checks prices, opening hours, offers, health and efficacy claims, advertising labels and competition rules as well as any mandatory information for its industry.
8.3 Where labelling obligations for AI-generated content exist (e.g. under Art. 50 of the AI Act (EU) 2024/1689 or under platform rules), the customer ensures labelling when publishing. Postaro supports this as described in the AI notice.
8.4 We only show a customer's posts as examples on our website with the customer's consent.
9. Rights of use
9.1 For the term of the contract, the customer grants us the non-exclusive right to store and edit its content and to transfer it to the services listed in the privacy policy and the data processing agreement, as far as necessary to provide the service.
9.2 The customer receives a non-exclusive right, unlimited in time and territory, to use the posts, graphics and reels created for it for its own purposes, also after the contract ends. Copyright protection of AI-generated parts is not guaranteed.
9.3 Third-party components remain subject to their licences: music and stock videos from Pixabay (Pixabay Content License; music may only be passed on as part of the finished post, not as a separate file), fonts under the SIL Open Font License. On some platforms, automated rights notices may occur for music despite a valid licence.
9.4 The Postaro software, the templates and the design remain our property. The customer may not resell, replicate or scrape Postaro, except within the agency terms.
10. Availability
10.1 We strive for operation that is as smooth as possible but do not owe any specific availability. Every day between 03:00 and 05:00 (Vienna time) we perform backups and maintenance; during this time Postaro does not create or schedule anything.
10.2 Postaro depends on third-party services (Buffer, Instagram, Facebook, TikTok, AI providers). We are not responsible for outages or changes of these services; we try to repeat failed publications automatically and inform the customer if this does not succeed.
11. Warranty and liability
11.1 The customer reports defects without delay by email. We remedy them within a reasonable period.
11.2 We are only liable for damage caused intentionally or by gross negligence. This does not apply to personal injury. Liability for slight negligence, lost profits, lack of reach, blocking or restriction of accounts by platforms and consequential damage is excluded to the extent permitted by law.
11.3 Liability per incident is limited to the amount the customer paid us in the 12 months before the event causing the damage, to the extent permitted by law.
11.4 We are not liable for content that the customer approved or had published in the "automatic" workflow, except in cases of intent or gross negligence.
11.5 In the event of data loss, we are only liable for the effort that would have been necessary for restoration with proper backups.
11.6 Claims for damages become time-barred one year after knowledge of the damage and the party causing it.
12. Data protection, data processing
12.1 Our privacy policy describes how we handle data.
12.2 Where we process personal data on behalf of the customer, the data processing agreement applies. It forms part of these terms and is concluded together with them.
13. Additional terms for agencies
13.1 Agencies book a plan with a number of slots for their own clients ("end clients"), monthly or annually. With annual payment the price is ten monthly prices. Upgrades are charged pro rata; a downgrade is only possible if the active end clients fit into the smaller plan.
13.2 The trial month (30 days, at most 2 end clients) is free of charge and ends automatically without payment if no plan is bought. During the trial we may limit usage to reasonable volumes.
13.3 The agency cancels effective at the end of the paid term (month or year). After that, no new posts are created for its end clients.
13.4 The agency alone is the contractual partner of its end clients. It ensures that its end clients agree to the processing of their website, content and data by Postaro, that their Buffer accounts are only connected with their consent and that the obligations under sections 7 and 8 are also met for end-client content.
13.5 Where the agency processes its end clients' data on their behalf, we are its sub-processor; the data processing agreement applies accordingly. The agency passes our list of sub-processors on to its end clients.
13.6 If the agency uses its own brand or domain (white label), it is itself responsible for the imprint, privacy notices and all information towards its end clients. Own domains may only be used if the agency is entitled to use them.
13.7 Team member access is personal. The agency is responsible for the rights it grants its team members in the agency area.
14. Partner programme
14.1 Partners receive a personal referral link from us. For customers who sign up within 90 days of opening this link, the partner receives the commission agreed on admission (currently 30% of the net amounts paid by the customer) as long as the customer pays.
14.2 Statements are issued monthly. Payment is made as soon as at least EUR 50 is outstanding, against the partner's invoice or a credit note. Commissions on payments that are refunded or charged back lapse.
14.3 Partners only advertise with truthful statements and without unsolicited advertising (e.g. spam emails, cold calls). In case of breaches we may end participation; outstanding commissions for affected sign-ups lapse.
15. Changes to these terms
We may change these terms with effect for the future if this is necessary for legal, technical or economic reasons. We announce changes by email at least 30 days before they take effect. If the customer does not object by then, they are deemed accepted; we point out this consequence in the notice. If the customer objects, either party may cancel effective when the change takes effect.
16. Final provisions
16.1 Austrian law applies, excluding the UN Convention on Contracts for the International Sale of Goods and the conflict-of-law rules of private international law.
16.2 The place of jurisdiction for all disputes is the court having subject-matter jurisdiction for Bad Waltersdorf, Austria. We may also sue the customer at its general place of jurisdiction.
16.3 If a provision is invalid, the rest remains valid; the invalid provision is replaced by a valid one that comes closest to its purpose.
